HOUSING AND REDEVELOPMENT AUTHORITY OF THE CITY OF SAINT PAUL, MINNESOTA NOTICE OF A PUBLIC HEARING WITH RESPECT TO THE FINANCING OF A MULTIFAMILY HOUSING DEVELOPMENT FOR THE BENEFIT OF WINNIPEG APARTMENTS LIMITED PARTNERSHIP UNDER MINNESOTA STATUTES, CHAPTER 462C, AS AMENDED ____________ NOTICE IS HEREBY GIVEN that the City Council of the City of Saint Paul, Minnesota (the "City") will hold a public hearing on July 18, 2007, on or after 5:30 p.m. at the City Council chambers on the third floor of City Hall, 15 West Kellogg Boulevard, in Saint Paul, Minnesota to consider the approval of a housing program (the "Housing Program"), prepared in accordance with the terms of Minnesota Statutes, Chapter 462C, as amended (the "Act"). The Housing Program provides for the issuance of one or more series of revenue bonds (the "Bonds") of the Housing and Redevelopment Authority of the City of Saint Paul, Minnesota (the "Authority") under the terms of the Act for the benefit of Winnipeg Apartments Limited Partnership, a Minnesota limited partnership (the "Borrower"), to finance (i) the acquisition, construction, and equipping of an approximately 56-unit multifamily residential rental housing development and related improvements, including a commercial space of approximately 6,000 square feet, to be located at 852-886 Rice Street in the City of Saint Paul ( the "Project"); (iii) the funding of one or more reserve funds to secure the timely payment of the Bonds; (iv) the payment of interest on the Bonds; and (v) the payment of the costs of issuing the Bonds. The Project will be owned by the Borrower. Following the public hearing, the City Council will consider the adoption of a resolution approving the Housing Program, granting preliminary approval to the financing of the Project, and granting approval to the issuance of the Bonds by the Authority to finance the costs of the Project, and authorizing the Authority to undertake and carry out the Housing Program. The Bonds are authorized to be issued in the aggregate principal face amount of approximately $7,000,000. The Bonds may be issued in one or more series. Any series of Bonds may be issued as fixed-rate bonds or as variable-rate bonds. The Bonds to be issued by the Authority will constitute special, limited obligations of the Authority payable solely from the revenues expressly pledged to the payment thereof and from any property, instruments, or other asset to be provided as security for payment of the Bonds. The Bonds will not constitute a general or moral obligation of the Authority or of the City, and will not be secured by the taxing powers of the Authority or the City or any assets or property of the Authority or the City, except the interests of the Authority in a loan agreement or other instrument between the Borrower and the Authority pursuant to which the proceeds derived from the sale of the Bonds will be loaned to the Borrower. All persons interested may appear and be heard at the time and place set forth above or may file written comments with the Executive Director of the Authority prior to the date of the hearing set forth above. A draft copy of the Housing Program shall be available for public inspection following the publication of this notice, at the offices of the Authority, during normal business hours.
